All proposals of the Board of Directors approved

2025 General Assembly

Swissgrid’s shareholders approved all the proposals put forward by the Board of Directors at today’s General Assembly. Astrid Schnidrig was newly elected to the Board of Directors, and amendments were adopted to the Articles of Incorporation.

The General Assembly confirmed all the Board of Directors’ proposals, approved the distribution of a dividend of just under 52 million Swiss francs for the 2024 financial year and granted discharge to the Board of Directors and Executive Board. The shareholders also voted on the composition of the Board of Directors, confirmed the appointment of the external auditor and adopted an amendment to the Articles of Incorporation.

Astrid Schnidrig was elected as a new independent member. She succeeds Regula Wallimann, who is stepping down. The other current members of the Board of Directors were re-elected, and PricewaterhouseCoopers AG was confirmed as the external auditor for a further year.

The amendment to the Articles of Incorporation specifies the details of the statutory pre-emptive rights. The updated Articles of Incorporation are still subject to approval by the Federal Council (see Art. 19 para. 1 of the Electricity Supply Act) and are not expected to be published on Swissgrid’s website until autumn 2025.

The next General Assembly will take place on Wednesday, 20 May 2026.
